Terms of Service

1. Acceptance of Terms

By accessing or using the Arenevo platform (the "Service"), operated by JAHWAT Consulting UG (haftungsbeschränkt) i.G., UG (haftungsbeschränkt) i.G., Abt-Fehr-Str. 22, 88471 Laupheim, Germany ("JAHWAT Consulting UG (haftungsbeschränkt) i.G.", "we", "us"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). You must be at least 18 years old and have the legal authority to bind your organisation to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Arenevo is a B2B software-as-a-service (SaaS) platform that enables organisations to measure and improve team culture through anonymous pulse surveys, AI-powered analysis, and action planning. The specific features available to you depend on the subscription plan you have purchased. JAHWAT Consulting UG (haftungsbeschränkt) i.G. reserves the right to modify, suspend, or discontinue features with reasonable notice.

3. Customer Responsibilities & Email Compliance

You are the data controller for all participant email addresses you upload or enter into the Service. You warrant and represent that: (a) you have obtained all necessary consents, or have an alternative valid lawful basis under applicable law (including the GDPR, the French Loi Informatique et Libertés, and applicable anti-spam legislation), to send survey invitation emails to each participant; (b) your use of the Service complies with all applicable laws and regulations, including those governing electronic communications and data protection; (c) you will not use the Service to send unsolicited, misleading, or unlawful communications. JAHWAT Consulting UG (haftungsbeschränkt) i.G. acts solely as a technical data processor in relation to participant email addresses and bears no responsibility or liability whatsoever for emails sent through the Service without a valid lawful basis, or for any regulatory fines, penalties, or third-party claims arising from your email sending activities. You agree to indemnify and hold harmless JAHWAT Consulting UG (haftungsbeschränkt) i.G. from any such claims.

4. Acceptable Use

You agree not to: (a) use the Service to send spam or unsolicited bulk communications; (b) upload unlawful, defamatory, or harmful content; (c) attempt to reverse-engineer, decompile, or extract the source code of the Service; (d) scrape, harvest, or systematically extract data from the Service; (e) resell, sublicense, or make the Service available to third parties except as expressly permitted by your plan; (f) use the Service to process data in violation of any applicable law. JAHWAT Consulting UG (haftungsbeschränkt) i.G. reserves the right to suspend or terminate accounts that violate this policy without prior notice.

5. Subscriptions, Billing & Cancellation

The Service is offered on a subscription basis. Fees are charged in advance for each billing period (monthly or annual) and are non-refundable except as required by law. Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date via your billing settings. Upon cancellation, you retain access until the end of the current paid period. JAHWAT Consulting UG (haftungsbeschränkt) i.G. reserves the right to modify pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Intellectual Property

The Arenevo platform, including its software, design, algorithms, and AI models, is the exclusive intellectual property of JAHWAT Consulting UG (haftungsbeschränkt) i.G. and its licensors. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription term. You retain full ownership of the data you upload to the Service, including survey results and participant lists. JAHWAT Consulting UG (haftungsbeschränkt) i.G. may use anonymised, aggregated, non-identifiable statistical data derived from platform usage to improve the Service.

7. Data Processing & GDPR

To the extent that JAHWAT Consulting UG (haftungsbeschränkt) i.G. processes personal data on your behalf, it does so as a data processor under GDPR Article 28. The scope, nature, and purpose of processing, the type of personal data, and the categories of data subjects are described in our Privacy Policy. By agreeing to these Terms, you enter into a Data Processing Agreement with JAHWAT Consulting UG (haftungsbeschränkt) i.G., which is incorporated herein by reference. JAHWAT Consulting UG (haftungsbeschränkt) i.G. will process personal data only on your documented instructions, implement appropriate technical and organisational security measures, assist you in responding to data subject rights requests, and notify you without undue delay of any personal data breach affecting your data.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is or becomes publicly available without breach, or that is independently developed without use of confidential information. Confidentiality obligations survive termination of these Terms for a period of three (3) years.

9. Warranties & Limitation of Liability

The Service is provided "as is" and "as available". JAHWAT Consulting UG (haftungsbeschränkt) i.G. does not warrant that the Service will be uninterrupted, error-free, or entirely secure. To the maximum extent permitted by applicable law, JAHWAT Consulting UG (haftungsbeschränkt) i.G.'s total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. In no event shall JAHWAT Consulting UG (haftungsbeschränkt) i.G. be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless JAHWAT Consulting UG (haftungsbeschränkt) i.G., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms or applicable law; (b) survey invitation emails sent by you or on your behalf through the Service without a valid lawful basis; (c) any regulatory investigation, fine, or penalty imposed on JAHWAT Consulting UG (haftungsbeschränkt) i.G. as a direct result of your use of the Service; (d) any claim by a third party, including survey participants, arising from your email sending activities.

11. Term & Termination

These Terms remain in effect for the duration of your active subscription. Either party may terminate these Terms with 30 days' written notice. JAHWAT Consulting UG (haftungsbeschränkt) i.G. may terminate your access immediately and without notice in the event of a material breach of these Terms, non-payment of fees, or if continued access would expose JAHWAT Consulting UG (haftungsbeschränkt) i.G. to legal or regulatory risk. Upon termination, your right to use the Service ceases and JAHWAT Consulting UG (haftungsbeschränkt) i.G. will delete your personal data in accordance with the Privacy Policy, subject to legal retention obligations.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict-of-law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the competent courts for the company's registered seat in Ulm, Germany, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

For Consultants

14. Role of Arenevo

Arenevo is a marketplace connecting Experts with Clients seeking culture diagnostics, coaching, consulting, or related organisational development services. Arenevo is not a party to, and assumes no responsibility for, any engagement, statement of work, or contract formed between an Expert and a Client. Arenevo does not employ Experts and does not supervise or direct the delivery of services. Any agreement for services — including scope, fees, timelines, and deliverables — is formed directly between Expert and Client. The Expert is solely responsible for the professional services they deliver.

15. Eligibility of Experts

To register as an Expert on Arenevo, you must: (a) be at least 18 years old and have full legal capacity to contract; (b) hold, and be able to document, any professional qualification or certification displayed on your profile; (c) comply with all laws applicable to your practice, including tax, insurance, data protection, and the ethical or regulatory requirements of any professional body under which you are credentialed; (d) operate under a valid business registration where required by your jurisdiction.

16. Profile and Listing Content

The Expert is responsible for the accuracy of all information on their profile, including credentials, experience, service offerings, and pricing. Arenevo may make non-substantive formatting edits to listings but will not alter substantive claims without the Expert's consent. Arenevo may decline to publish, or may remove, a listing at its discretion, including where content is inaccurate, misleading, or inconsistent with these Terms.

17. Independent Contractor Status

The Expert acts as an independent business and is not an employee, worker, agent, or partner of Arenevo. The Expert is solely responsible for their own taxes, social security contributions, business registration, and professional liability insurance appropriate to their practice.

18. Engagements with Clients

Experts and Clients are free to negotiate the scope, fees, and terms of any engagement directly. Experts must maintain professional indemnity insurance appropriate to their practice and provide evidence of coverage on request. Experts must comply with the code of ethics or professional conduct standards of any body under which they hold a credential displayed on the Platform (for example, the ICF Code of Ethics).

19. Confidentiality and Data Protection

Experts must handle any Client or employee data encountered through the Platform — including diagnostic survey responses — in accordance with the GDPR. Experts must keep confidential all non-public information about a Client encountered in the course of an engagement, both during and after the engagement ends.

20. Disclaimers and Limitation of Liability

Arenevo makes no warranty as to the outcome, quality, or suitability of any services delivered by an Expert. The Expert alone is responsible for the professional services provided to a Client.

21. Indemnification

The Expert agrees to indemnify Arenevo against third-party claims, losses, or costs arising from the Expert's breach of these Terms, inaccurate representation of credentials, or negligent or wrongful conduct in the delivery of services to a Client.

22. Term, Suspension, and Termination

Arenevo may suspend or terminate an Expert's profile immediately in cases of credential misrepresentation, breach of these Terms, or conduct that harms Clients or the integrity of the Platform.

23. Amendments

Arenevo may update these terms from time to time. Experts will be given reasonable notice of material changes, and continued use of the Platform after such notice constitutes acceptance. Where German law requires active consent to a change in standard terms, Arenevo will seek that consent before the change takes effect.
